ABSTRACT:
In March 1998, the DTI launched a long-term fundamental review of core company law. As part of their inquiry the Review carried out a major analysis of the role and function of directors. The Government believes that the statutory statement of directors' general duties is of fundamental importance as it codifies the principal duties of companies directors. This 11 page paper discusses this statement with reference to decided UK cases, legislation and academic views and briefly describe the background to the Company Law Reform Bill.
