The writer discusses the four elements of a valid contract: consideration, mutual assent, capacity and legality) as well as the objective theory of contracts. The writer uses John D.R. Leonard v. PEPSICO, Inc. 88 F.Supp.2d 116 (S.D.N.Y. 1999) as an example of an unenforceable contract. Leonard v.
